Version 1.0 · Effective October 2, 2026 Permanent address of this version: moderandi.com/legal/self-serve-agreement/v1-0
This Self-Serve Subscription Agreement ("Agreement") is between Signitiva LLC, a Texas limited liability company, Houston, Texas, USA, provider of the Moderandi platform ("Moderandi," "we," "us"), and the company or organization on whose behalf an account is created ("Customer," "you").
1. Acceptance
By checking the acceptance box at signup or checkout, you agree to this Agreement. The person accepting represents that they are authorized to bind the Customer. Moderandi records each acceptance — the accepting user, date and time, IP address, and the version of this Agreement accepted — and that record is the authoritative evidence of your agreement. The Services are offered for business use only, not to consumers.
The version you accept governs you for the term it covers. This version is permanently available at moderandi.com/legal/self-serve-agreement/v1-0. If we publish a new version, it applies to new signups and to your next renewal (Section 7), never retroactively to a term already paid.
2. Relationship to other Moderandi terms
- The Website Terms & Conditions (moderandi.com/terms-conditions) govern general access to and use of the Moderandi website and applications. For your trial and paid subscription, this Agreement prevails over them wherever the two differ, including on trials, renewal, payment, refunds, and liability.
- If you and Signitiva execute an Order Form referencing the Moderandi Master Subscription Agreement, the MSA and the Contract and Billing Terms govern from that point and replace this Agreement for the ordered subscriptions.
- The Data Processing Agreement (moderandi.com/legal/dpa) is incorporated into this Agreement by reference and applies automatically to personal data we process on your behalf — no separate signature is needed for self-serve accounts.
- The Service Level Agreement published with the Moderandi Master Subscription Agreement (moderandi.com/legal/msa) applies to paid self-serve subscriptions, with service credits applied as a discount against your next renewal payment (credits lapse if you do not renew). The SLA does not apply during free trials.
3. The Services and seats
Subject to this Agreement, Moderandi grants you a non-exclusive, non-transferable right for your authorized users to access and use the Moderandi modules you subscribe to, for your internal business operations, during your trial or paid term.
Seats are licensed to named individual users and may be reassigned to a different named person; concurrent sharing of one seat is not permitted. Every subscription requires a minimum of 1 Admin seat and 1 Agent seat. You are responsible for your users' compliance and for keeping credentials confidential.
4. Free trial
- New organizations may start a 30-day free trial. No payment card is required to start a trial, and nothing is charged during or after it unless you choose to subscribe.
- One trial per organization. Creating additional accounts to obtain further trials is not permitted; Moderandi may merge or close duplicate trial accounts.
- Trials include the features shown at signup. Moderandi may modify, limit, or discontinue the trial program at any time; a change does not shorten a trial already started.
- Data you enter during the trial carries over to your paid subscription if you subscribe.
5. Grace period and account lock
At the end of the trial (day 30), if you have not purchased a subscription, your account enters a 7-day grace period with continued access. If no payment is made by the end of the grace period, the account is locked.
At the end of a paid term, because subscriptions do not renew automatically (Section 7), the same mechanism applies: a 7-day grace period with continued access, then the account is locked if the renewal has not been paid.
What locked means: all access to the account is blocked for your users. Your data is preserved during the lock (Section 9), and paying the subscription (or renewal) unlocks the account with data intact.
Your customers' portal access differs by how the lock arose. The Customer Portal application itself always remains available to your customers — it is free to them and may also serve them in connection with other suppliers. If your account is locked at the end of an unpaid trial, your customers lose their portal access to your organization while the lock lasts. If your account is locked after a paid term lapses, your customers keep their portal access to your organization; only your own users are blocked.
Moderandi will send reminder notices to the account's administrative email before the end of a trial or paid term and during the grace period. You are responsible for keeping that email address current.
6. Fees, payment, and taxes
- Prices are per seat, per year, in US dollars, as shown on the pricing page and at checkout at the time you pay. The full annual amount is paid upfront. There is no monthly billing.
- Payments are processed by Stripe; Moderandi does not store your card numbers.
- Taxes: prices exclude applicable taxes, which are added at checkout where required or are otherwise your responsibility (excluding taxes on Signitiva's income).
- Adding seats mid-term: your account Admin may request additional seats at any time from within the application (or by writing to billing@moderandi.com). Added seats are charged when provisioned, prorated to the end of your current term, so everything renews on one date.
- Reducing seats: takes effect at renewal — simply renew with fewer seats (not below the Section 3 minimum).
- If you purchased through an authorized Moderandi partner: your subscription, renewals, and seat additions are always purchased from that partner under your arrangement with it — not from Moderandi directly. The fees, payment, and refund provisions of this Agreement (Sections 6–8) do not apply to you; everything else in this Agreement governs your access to and use of the Services.
7. Renewal — no automatic charges
Subscriptions are for a 12-month term and do not renew automatically. We do not store a card on file for automatic charges. To continue after your term, you pay for a new term before the end of the grace period, at the then-current pricing and under the then-current version of this Agreement (presented at checkout). If you do not renew, your account follows Section 5 (grace, then lock) and Section 9 (data).
8. Refunds
The free trial lets you evaluate the Services before paying. Fees are non-refundable, except (a) where required by applicable law, or (b) if you terminate for Moderandi's material breach that remains uncured 30 days after your written notice, in which case Moderandi refunds the prepaid fees for the unused remainder of your term. Because there are no automatic charges, every payment is one you initiated deliberately.
9. Your data
- You own your data. You grant Moderandi a license to host and process it solely to provide and support the Services, address security issues, and comply with law. Moderandi may use aggregated, de-identified usage data to operate and improve the Services. Where you use AI-powered features, your data is processed with AI models solely to serve you; Moderandi does not use your data to train generalized AI models, and AI outputs are informational only — review them before acting.
- While locked: your data is preserved and nothing is deleted during the grace period or the lock itself.
- Trial accounts: if a trial account remains locked without payment, Moderandi may delete its data 60 days after the lock date.
- Paid accounts: after a paid subscription ends (expiry without renewal, or cancellation), you may export your data using the platform's standard export tools for 30 days; Moderandi then deletes it within 90 days of the subscription end date, except data we must retain by law and routine backups that expire on their normal schedule.
- You are responsible for the lawfulness of the data you and your end customers submit, including any required notices and consents.
10. Acceptable use
You will not, and will not permit anyone to: (a) sell, resell, sublicense, or lease the Services (resale is reserved to Moderandi's authorized partners under separate agreement); (b) reverse engineer the Services except as the law permits despite this clause; (c) use the Services to build a competing product; (d) circumvent seat limits, usage limits, trial limits, or security controls, including tenant isolation; (e) upload malicious code or unlawful, infringing, or harmful material; (f) interfere with the integrity or performance of the Services or other tenants; or (g) use the Services in violation of applicable law, including privacy, labor, consumer-protection, export-control, and anti-corruption laws.
11. Suspension
Moderandi may suspend access (beyond the lock mechanics of Section 5) if your use presents a security risk to the Services or other tenants, if suspension is required by law, or for material breach of Section 10, with notice where practicable. Data is preserved during suspension.
12. Intellectual property
Moderandi and its licensors own the Services, documentation, and all related technology and improvements. No rights are granted except as stated in this Agreement. If you provide feedback, Moderandi may use it without obligation, provided doing so does not identify you.
13. Warranties and disclaimer
Moderandi warrants that paid Services will perform materially in accordance with the documentation; your exclusive remedies are correction or, failing that, termination of the subscription with a pro-rata refund of prepaid fees for the unused remainder. Trials are provided "as is." Except as expressly stated, Moderandi disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
14. Limitation of liability
Except for your payment obligations, your indemnification obligations, or either party's breach of confidentiality obligations (excluding claims relating to your data, which remain subject to the cap): (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data; and (b) each party's total aggregate liability is capped at the greater of the fees you paid in the 12 months before the first event giving rise to liability, or US $100. Nothing excludes liability that cannot be excluded by law.
15. Indemnification
You will defend and indemnify Moderandi against third-party claims arising from your data, your end customers' use of your Customer Portal, or your use of the Services in violation of this Agreement or law. Moderandi will defend and indemnify you against third-party claims that the Services, as provided by Moderandi and used in accordance with this Agreement, infringe intellectual-property rights; Moderandi may remedy alleged infringement by procuring rights, modifying the Services, or terminating the subscription with a pro-rata refund, and this states Moderandi's entire infringement liability. The indemnified party must give prompt notice, control of the defense, and reasonable cooperation.
16. Term and cancellation
This Agreement runs from your acceptance until your trial or paid term (including any grace period) ends without renewal, or until terminated. You may cancel at any time from the account settings or by writing to billing@moderandi.com; cancellation is effective at the end of your current paid term and does not entitle you to a refund (Section 8). Sections that by nature survive (fees owed, data/deletion, IP, disclaimers, liability, indemnity, governing law) survive.
17. Changes to this Agreement
Each version of this Agreement is published at its own permanent address (this one at /legal/self-serve-agreement/v1-0). New versions apply to new acceptances and at your next renewal; the version you accepted continues to govern the term you paid under it.
18. Governing law; general
This Agreement is governed by the laws of the State of Texas, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods, with exclusive jurisdiction and venue in the state and federal courts of Harris County, Texas; each party waives jury trial to the extent permitted. Notices to Moderandi go to billing@moderandi.com (legal notices: legal@moderandi.com); notices to you go to your account's administrative email. Neither party may assign this Agreement without consent, except in a merger, acquisition, or sale of substantially all assets, with notice. Neither party is liable for delay caused by events beyond its reasonable control (except payment obligations). If a provision is invalid, the remainder stays in force. This Agreement (with the documents it incorporates) is the entire agreement for self-serve subscriptions and supersedes prior discussions; purchase-order terms are void.
